







The securitisation market continues to grow in breadth and depth. More forms of businesses are beginning to recognize the merits of this form of financing. A trustee’s role is to hold the assets on behalf of investors in the special purpose vehicle (“SPV”), which may be in the form of a company or a trust. This role has evolved over time as the securitisation market matures and securitisation structures become more sophisticated.
Lion Trust has the technical experience and expertise to analyse and execute these forms of niche financing. As an independent trust company that is not owned or controlled by any financial institution, we are able to act independently and impartially as a securitisation trustee.
The role of a bond trustee may also be required in structured corporate finance deals which differ slightly from a securitisation trustee. As a bond trustee, Lion Trust would collectively represent the bond holders who had invested their monies and has to ensure that the interests of the bond holders are protected.
In this aspect, Lion Trust will advise the bond issuers, amongst others, on the appointment of arrangers, providing guidance on the structured payment, clarification on legal/statutory matters in issuance of the bonds, documentation process, registration and compliance of legal and statutory requirements.
